Terms of Use

These Terms of Use (the "Terms") are an agreement between Duran Çelik, the operator of ReplyOff ("we", "us"), and any business or individual that uses the platform (the "Merchant" or "you").

• •Store integrations: Connects to Shopify and ikas stores to sync products, customers, orders and abandoned checkouts.
• •Automated messages: Sends order confirmation, shipping, delivery, satisfaction, back-in-stock and abandoned-cart messages over WhatsApp.
• •AI assistant: Replies to customer messages on WhatsApp and Instagram using your store information, and can hand a conversation over to your staff.
• •Inbox and CRM: Shared inbox, customer list, segments, campaigns and revenue reporting.

• •You must be at least 18 years old or authorized to act on behalf of a business.
• •You are responsible for keeping your account information accurate, and for all activity under your account.
• •Report any unauthorized use of your account or security issue to business@replyoff.com immediately.
• •We may temporarily suspend an account if we suspect a security breach.

When using the platform, you agree to:

• •Comply with applicable law, the Meta Platform Terms, the WhatsApp Business Messaging Policy and the Shopify Partner and API terms.
• •Send marketing messages only to customers who have given the required consent, and honor opt-out requests.
• •Not send spam, misleading content or phishing messages.
• •Not use the AI assistant to produce harmful, misleading or unlawful content.
• •Not reverse engineer, copy or interfere with the platform, or generate bot or malicious traffic.

• •If you installed ReplyOff from the Shopify App Store, fees are charged in USD through Shopify Billing and appear on your Shopify invoice. Plans, prices and trial periods are shown on the app listing and when you choose a plan.
• •Merchants who subscribe directly on our website in Türkiye are billed through iyzico. Card details are handled only by the payment provider and are never stored on our servers.
• •Subscriptions renew automatically each billing period until cancelled.
• •For Shopify merchants, uninstalling the app cancels the subscription. Fees already charged for the current period are not refunded, unless the law requires a refund.

The platform, including its design, code and brand, belongs to Duran Çelik. You receive a limited, non-exclusive, non-transferable right to use it under these Terms. Your business information, content and store data remain yours. We use them only to provide the service.

For personal data of your customers that comes from your connected store and messaging accounts, you are the controller and we are the processor. These terms form our data processing agreement with you. We:

• •Process the data only on your instructions and to provide the service. We do not sell it, use it for advertising or share it with other merchants.
• •Keep the data confidential. Only people who need access to provide the service can access it.
• •Protect the data with appropriate technical and organizational measures, including encryption, access control and access logging.
• •Share the data only with the sub-processors listed in our Privacy Policy, under the same level of protection.
• •Notify you without undue delay after becoming aware of a personal data breach, and help you resolve it.
• •Help you respond to requests from individuals to access, correct or delete their data.
• •Delete the data after the integration is removed or these Terms end, within the periods in our Privacy Policy.

You are responsible for informing your customers about this processing, and for obtaining any consent required to message them, such as consent to commercial or marketing messages. See our Privacy Policy.

• •AI-generated replies may be inaccurate or incomplete. We do not guarantee their accuracy.
• •We are not liable for interruptions caused by changes to, or outages of, third-party services (Meta, WhatsApp, Shopify, ikas).
• •We are not liable for damages caused by inaccurate information you provide to the platform.
• •To the extent permitted by law, our total liability is limited to the fees you paid in the month in which the damage occurred.

• •You can cancel at any time. Shopify merchants cancel by uninstalling the app.
• •We may close an account immediately if these Terms are breached.
• •We may discontinue all or part of the service with 30 days' notice.
• •After termination, data is deleted as described in our Privacy Policy. Records we must keep by law are retained.

These Terms are governed by the laws of the Republic of Türkiye. The courts and enforcement offices of Ankara have jurisdiction over commercial disputes. Mandatory consumer protection rights that apply to you remain unaffected.

We may update these Terms. We will notify you of significant changes by email at least 15 days before they take effect. If you continue to use the platform after that, you accept the new Terms.
